Corporate and securities law: capital markets, M&A, securities compliance, and capital raises for mid-market private and public companies. I also handle a niche practice advising public companies on voluntary downlisting from Nasdaq to OTC markets (or uplisting), and I take on commercial litigation matters, from time to time.

Founders and private companies raising capital, public micro- and nanocap companies, and businesses involved in M&A in the middle market. I also work with investment bankers, PE/VC professionals, and family offices as referral partners and co-counsel.

I'm licensed in Arizona and Texas, but my practice isn't limited to those two states. Securities and capital markets work is largely federal, and I regularly advise companies and investors outside AZ and TX.

Two things. First, direct access. When you work with me, I am directly involved on your matter, not a name on the letterhead while associates run the file. Second, depth in areas generalist counsel often hasn't built out, like Nasdaq deficiency or downlisting strategy; OTC uplisting; and Section 5 exemption issues. The kind of thing that gets missed until it becomes a problem.

Hourly, at $500/hour. You're backed by a support team, and matters are staffed at a matrixed rate, the right person handles the right task, so you're not paying my rate for work that doesn't need it. That structure gets you more value, not less attention.

Direct and practical. I tell you where you actually stand, including when the answer isn't what you want to hear, rather than hedging or burying it in jargon. You'll get plain-English explanations, not a stack of legal citations to decode yourself, and a lawyer who's accessible, not buried behind layers of staff.
